These terms are effective as of the date set forth above. Paythium Ltd is a company incorporated and registered in England and Wales with company number 15503200, whose registered office is 85 Great Portland Street, First Floor, London, W1W 7LT ("we", "us", "our" and "Paythium").
These Terms of Use (the “Terms”) govern your access to and use of the Software. To use this Software you must be working for a Company with which we have a commercial relationship, you agree to comply with these Terms. If you do not agree, you must not use the Software.

1. Eligibility
1.1 The Software is provided free of charge to users who have been invited to join their company’s account (“Company Account”). The company (the “Company”) must have a commercial agreement with us to enable your access.
1.2 You represent and warrant that:
• You are at least 18 years old.
• You have been invited to use the Software by the Company with which we have a commercial relationship.
• You have the necessary authority to access the Software on behalf of the Company, if applicable.

2. Account Access and Responsibilities
2.1 Your access to the Software is managed through the Company Account. You are responsible for maintaining the confidentiality of any login credentials provided to you.
2.2 You agree not to share your access credentials or permit others to use your account. You must notify us immediately of any unauthorized use of your account or any other breach of security.

3. Permitted Use
3.1 You may use the Software solely for lawful purposes and in accordance with these Terms. You may only use the Software as part of your role within the Company.
3.2 You must not:
• Use the Software in any way that violates applicable laws or regulations.
• Copy, modify, distribute, or create derivative works of the Software.
• Decompile, reverse-engineer, or otherwise attempt to extract the source code of the Software.
• Use the Software in a manner that could harm or disrupt our systems or the experience of other users.

4. Intellectual Property
4.1 We retain all rights, title, and interest in and to the Software, including all intellectual property rights.
4.2 You are granted a non-exclusive, non-transferable, revocable licence to access and use the Software as permitted under these Terms. This licence is limited to your role within the Company and ceases upon termination of your access or the commercial agreement with the Company.

5. Privacy, Data, and Compliance
5.1 We process personal data in accordance with our Privacy Policy and applicable data protection laws, including the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.
5.2 By using the Software, you consent to the collection, use, and sharing of your information as described in our Privacy Policy. This includes processing necessary to provide the Software’s functionality, manage accounts, and ensure security.
5.3 The Company may also process your data as part of its use of the Software. Please consult the Company’s privacy policies for details on how it handles your data.
5.4 We implement appropriate technical and organisational measures to protect your data against unauthorized access, loss, or misuse. However, you are responsible for ensuring that any devices or networks you use to access the Software are secure.

6. Associated Applications
6.1 These Terms also govern access to any associated applications (“Apps”) that you may have been granted permission to use as part of the Software. Your use of such Apps is subject to the same rules, restrictions, and obligations outlined in these Terms.
6.2 Access to any associated Apps is contingent upon the Company’s ongoing commercial agreement with us and your continued authorization to use such Apps through the Company Account.
6.3 We reserve the right to update, modify, or discontinue any associated Apps without prior notice, and we shall not be liable for any impact such changes may have on your use of the Software or Apps.

7. Liability
7.1 The Software is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.
7.2 To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising out of your use of or inability to use the Software.
7.3 Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded or limited by law.

8. Termination
8.1 Your access to the Software may be terminated:
• By the Company revoking your access.
• By us, at our sole discretion, if you breach these Terms.
• Upon termination or expiration of the commercial agreement between us and the Company.
8.2 Upon termination, you must immediately cease all use of the Software and any associated Apps.

9. Assign to others
Paythium is allowed to assign, transfer, and subcontract its rights and/or obligations under these Terms of Use without any notification provided your rights are not materially affected.
You are not allowed to assign or transfer your rights under these Terms of Use to anyone else. This is because these Terms of Use are personal to you — and nobody else is entitled to benefit from them.
10. Changes to the Terms
10.1 We may update these Terms from time to time. If we make significant changes, we will notify you by email or through the Software. Continued use of the Software after such changes constitutes your acceptance of the new Terms.

11. Governing Law and Dispute Resolution
11.1 These Terms are governed by and construed in accordance with the laws of England and Wales.
11.2 Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
